A no-assignment clause is a provision in a contract that prohibits the assignment of the contract or any portion of the contract.

Sample clause[]

The right of Lessee [Licensee] to hold and use the property of Lessor [Licensor] pursuant to this Agreement is restricted solely to Lessee [Licensee] and shall not be assigned, transferred, subleased [sublicensed], encumbered, or subject to any security interest without the written authorization of Lessor [Licensor]. Any attempted assignment will be void and of no effect.
