Factual Background[]

A pop-up box appeared on the screen of AOL's software. The pop-up box informed users that there were changes to the billing amounts, the availability of service, as well as material changes to the license agreement for users, effective immediately. It required no actions by the user to show acquiescence.[1]

Trial Court Proceedings[]

The court upheld the usewrap agreement because it was "clear, on its face . . . unambiguous . . . and straightforward."[2]
